Welcome to Stackfer Technologies ("Stackfer," "we," "us," "Company," or "Platform"). These Terms and Conditions ("Terms," "Agreement") establish the legally binding terms and conditions governing your access to, use of, and participation in the Stackfer creator commerce platform, including all associated websites, applications, content, and services (collectively, "Platform"). Stackfer enables creators to deliver educational courses, digital products, e-books, audio content, video materials, and other intangible goods to a global audience. By accessing, browsing, registering for an account, or making purchases on the Platform, you represent that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms in their entirety, you must immediately discontinue use of the Platform.

1. Definitions and Party Roles

1.1 User Categories

  • Creators: Individuals or entities who register accounts to develop, publish, and monetize educational content and digital products
  • Buyers/Learners: Registered users who purchase access to Creator content and products
  • Visitors: Individuals who access the Platform without registering an account (limited functionality)

1.2 Platform Definition

The "Platform" encompasses the Stackfer website, mobile applications, API services, payment infrastructure, and all features enabling Creators to publish and Buyers to discover, purchase, and consume digital educational content.

2. User Eligibility and Acceptance

2.1 Age and Legal Capacity

By using the Platform, you represent and warrant that: (a) you are at least 18 years of age or the age of majority in your jurisdiction; (b) you possess the legal authority to enter into binding contracts; (c) you are not prohibited from using the Platform by applicable law or regulation; and (d) you will comply with all applicable laws, regulations, and these Terms.

2.2 Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities occurring under your account. You must immediately notify Stackfer of any unauthorized access or use of your account.

2.3 Registration Accuracy

You agree to provide accurate, current, and complete information during registration and to promptly update this information to maintain its accuracy. Stackfer reserves the right to verify information and suspend accounts with inaccurate or fraudulent registration details.

3. Creator Responsibilities and Content Guidelines

3.1 Content Ownership and Rights

Creators represent and warrant that they own or possess all necessary rights, licenses, and permissions to create and distribute all content uploaded to the Platform. Creators retain all intellectual property rights to their original content. By uploading content, Creators grant Stackfer a non-exclusive, royalty-free, perpetual, worldwide license to host, display, transmit, and distribute content for Platform operations.

3.2 Prohibited Content

Creators expressly agree NOT to upload, publish, or distribute content that:

  • Infringes third-party intellectual property, copyright, trademark, or patent rights
  • Contains pornographic, obscene, profane, or sexually explicit material
  • Promotes, encourages, or facilitates illegal activities, fraud, or harassment
  • Defames, libels, or invades the privacy of any individual or entity
  • Discriminates against or promotes hatred toward individuals based on protected characteristics
  • Contains malware, viruses, or code designed to damage systems
  • Violates export control laws, sanctions regulations, or trade restrictions
  • Contains false, misleading, or deceptive claims regarding product quality or benefits

3.3 Content Accuracy and Disclaimers

Creators are solely responsible for the accuracy, legality, and authenticity of all published content. Stackfer does not endorse, verify, or assume responsibility for Creator content. Creators must include appropriate disclaimers regarding the nature, intended audience, and limitations of their educational materials.

3.4 Professional Standards

Creators agree to maintain professional standards in content presentation, communication with Buyers, and adherence to all Platform guidelines. Stackfer reserves the right to remove content or suspend Creator accounts that violate community standards or these Terms.

4. Buyer Rights and Usage Restrictions

4.1 Licensed Access Grant

Upon purchase, Stackfer grants Buyers a non-exclusive, non-transferable, revocable license to access and view purchased digital content for personal, non-commercial educational purposes only. This license is limited in duration to the terms specified at purchase.

4.2 Usage Restrictions

Buyers explicitly agree NOT to: (a) reproduce, redistribute, or resell purchased content; (b) modify, adapt, or create derivative works from content; (c) reverse engineer or circumvent technological protection measures; (d) remove copyright notices or attribution information; (e) use content for commercial purposes without written authorization; or (f) permit unauthorized third parties to access purchased content.

4.3 Account and Content Access

Stackfer maintains the right to suspend Buyer access to content upon account termination, breach of Terms, or non-compliance with applicable laws. Downloaded content (if permitted by Creator) remains subject to license restrictions and may not be used after account termination.

5. Payment Processing and Financial Terms

5.1 Third-Party Payment Processors

All payment transactions are processed exclusively through third-party payment processors including Stripe, Razorpay, PayPal, and similar authorized financial service providers. Stackfer does not directly handle, store, or process payment card data. All payment processing is subject to the terms and privacy policies of the respective payment processor.

5.2 Platform Fee Structure

Stackfer retains a service fee from each transaction to cover platform operations, payment processing, security infrastructure, and customer support. The applicable fee percentage will be displayed clearly during checkout. Fees are non-refundable regardless of whether the Buyer subsequently requests a refund on the content purchase.

5.3 Creator Payouts and Settlements

Creator earnings are calculated as the sale price minus Stackfer's service fee and payment processing charges. Payouts are processed according to the payment schedule specified in your Creator account settings. Stackfer is not responsible for delays caused by payment processors, banking systems, or regulatory compliance requirements.

5.4 No Refund of Platform Fees

Stackfer's service fees are non-refundable under all circumstances, including if content is subsequently removed, access is terminated, or the content purchase is refunded.

5.5 Payment Provider Outages and Delays

Stackfer is not liable for payment processing delays, failed transactions, or financial losses resulting from payment processor outages, system failures, network disruptions, or third-party financial institution issues. Buyers and Creators are encouraged to contact the relevant payment processor directly for issues related to payment processing.

6. Intellectual Property Rights

6.1 Creator Content Ownership

Creators retain full ownership of all original intellectual property created by them and published on the Platform. Stackfer claims no ownership rights to Creator original content. Creators are responsible for ensuring they possess all necessary rights to content published.

6.2 Stackfer Platform IP

All Stackfer-owned intellectual property, including the Platform software, design, logos, documentation, processes, features, and functionality, are the exclusive property of Stackfer. This IP is protected by copyright, trademark, patent, and trade secret laws. Users are granted a limited, revocable license to use the Platform subject to these Terms but acquire no ownership rights to Platform IP.

6.3 DMCA and Copyright Claims

Stackfer respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed, submit a written notice including copyright registration details, specific content location, and a statement of good faith belief to: support@stackfer.com.

7. Refund Policy

7.1 General Refund Framework

Stackfer recognizes that circumstances may warrant refund consideration. However, given that digital content is immediately accessible after purchase and is non-returnable in the traditional sense, all refund requests are evaluated on a case-by-case basis at Stackfer's sole discretion.

7.2 Refund Eligibility

Refunds may be considered for: (a) content that materially fails to match the description provided at purchase; (b) technical defects preventing content access; (c) duplicate purchases caused by Platform errors; or (d) other extraordinary circumstances at Stackfer's discretion.

7.3 Refund Processing Timeline

If a refund is approved, it will be credited to the original payment method within 7 business days. International transfers may require additional processing time depending on the Buyer's financial institution. Stackfer is not responsible for delays caused by third-party payment processors or banking systems.

7.4 Non-Refundable Circumstances

Refunds are not provided for: (a) content accessed, viewed, or downloaded; (b) personal preference changes; (c) Buyer dissatisfaction with learning outcomes; (d) Buyer failure to review course content or curriculum details; or (e) requests submitted beyond 30 days of purchase.

8. Account Suspension and Termination

8.1 Termination for Cause

Stackfer may immediately suspend or terminate your account and access to the Platform if you: (a) violate any provision of these Terms; (b) engage in fraud, illegal activity, or harassment; (c) infringe third-party intellectual property rights; (d) repeatedly violate Platform policies; or (e) pose a security threat to the Platform or other users.

8.2 Termination Without Cause

Stackfer reserves the right to terminate or modify the Platform and your access at any time for any reason without liability, provided we will make reasonable efforts to provide notice of such termination.

8.3 Consequences of Termination

Upon termination, your right to access the Platform and purchased content immediately ceases. Downloaded content may become inaccessible. Termination does not relieve you of obligations for fees, charges, or liabilities incurred prior to termination.

8.4 No Refund Upon Termination

Account termination due to policy violations does not entitle users to refunds of previous purchases or service fees. In cases of Stackfer-initiated termination without cause, Creator earnings may be forfeited according to the applicable payment agreement.

9. DISCLAIMERS AND WARRANTIES

9.1 Platform "As Is"

The Platform, including all content, features, and services, is provided on an "AS IS" and "AS AVAILABLE" basis without representations or warranties of any kind, express or implied. Stackfer expressly disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

9.2 Content Quality Disclaimer

Stackfer does not guarantee the accuracy, quality, completeness, or educational value of Creator content. Creators are solely responsible for content accuracy and quality. Stackfer makes no warranties regarding whether content will meet specific learning objectives or expectations.

9.3 No Technical Support Warranty

While Stackfer provides customer support, we make no express warranty regarding support availability, response time, or issue resolution. Support is provided on a best-effort basis.

10. LIMITATION OF LIABILITY

10.1 Damage Limitations

TO THE FULLEST EXTENT PERMITTED BY LAW, STACKFER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF STACKFER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Liability Cap

Stackfer's total, aggregate liability arising from or related to these Terms, the Platform, or any content shall not exceed the total amount paid by you to Stackfer in the 12 months preceding the claim, or $100, whichever is greater.

10.3 Third-Party Content and Services

Stackfer is not liable for any third-party content, including Creator content, external websites, payment processor failures, or services accessed through the Platform. Your use of third-party services is at your own risk and subject to their respective terms.

11. Dispute Resolution and Governing Law

11.1 Informal Resolution

If you have a dispute with Stackfer, we encourage you to contact us at support@stackfer.com to attempt informal resolution. Many disputes can be resolved through direct communication.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The respective courts of India shall have exclusive jurisdiction to resolve disputes arising from these Terms.

11.3 No Class Actions

You agree that any legal action or dispute shall be initiated on an individual basis. You waive the right to participate in class action litigation against Stackfer.

12. Amendments and Policy Updates

Stackfer may modify these Terms at any time by posting updated Terms on the Platform. Material changes will be accompanied by notification via email or Platform announcement with at least 30 days' notice. Your continued use of the Platform following notification constitutes your acceptance of modified Terms. If you do not agree with modifications, you must cease Platform use.
